Non-Solicitation Clause
Restricts approaching staff or customers, rather than competing outright
A covenant limiting a departing employee, contractor or counterparty from approaching a business's employees or customers for a defined period. Canadian courts read restrictive covenants narrowly and will not enforce terms broader than reasonably necessary. Ontario has also legislated against non-competition clauses for most employees, which makes a carefully scoped non-solicit more useful in practice than a broad non-compete.
