1. Acceptance of the Terms

These Terms of Service (the "Terms") govern your access to and use of rubylegal.ai (the "Site"), operated by Ruby Law Professional Corporation ("Ruby Law," "we," "us," or "our"). By accessing or using the Site in any way, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not access or use the Site.

2. About Ruby Law

Ruby Law Professional Corporation is a licensed law firm regulated by the Law Society of Ontario (Certificate of Authorization #0124872). Ruby Law uses a proprietary AI-assisted technology platform, provided by Ruby AI Inc. under a technology licence, to assist in the delivery of legal services. A licensed Canadian lawyer supervises and takes professional responsibility for all legal services delivered by Ruby Law.

3. No Solicitor-Client Relationship

Your use of the Site, including submitting a matter inquiry or consultation request through any form on the Site, does not create a solicitor-client relationship between you and Ruby Law. A solicitor-client relationship is formed only when Ruby Law issues an engagement letter and it is signed by both parties. Until that point, any information you provide is treated as confidential, but Ruby Law has no obligation to act on your behalf or to provide legal advice.

Nothing on this Site constitutes legal advice. The content on this Site is provided for general informational purposes only and should not be relied upon as a substitute for legal advice from a qualified lawyer familiar with your specific circumstances.

4. AI Technology Disclosure

Ruby Law uses artificial intelligence technology to assist with legal intake, document preparation, clause configuration, and regulatory compliance checks. AI is a tool used under the supervision of licensed lawyers; it does not independently provide legal advice or make legal decisions. A licensed Canadian lawyer reviews and takes professional responsibility for all legal services delivered through Ruby Law.

Ruby Law does not use your personal information or matter details to train AI models. For more information about how your data is handled, see our Privacy Policy.

5. Modifications to the Terms and to the Site

We may revise these Terms from time to time. For material changes, we will provide notice by posting an update notice on the Site at least 30 days before the change takes effect. Your continued use of the Site after a change takes effect constitutes your acceptance of the revised Terms. For non-material changes (corrections, clarifications), the updated Terms take effect immediately on posting. We may also update, modify, or discontinue features of the Site from time to time.

6. Intellectual Property Rights and Ownership

The Site and all content, features, and functionality on it (including text, graphics, logos, images, and software) are owned by Ruby Law Professional Corporation or its licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

Subject to these Terms, Ruby Law grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit the Site or its content without our prior written consent.

Except for search-engine and AI-assistant crawlers accessing publicly available pages in accordance with our robots.txt file (available at rubylegal.ai/robots.txt), you may not use any automated means, including robots, crawlers, or data mining tools, to access, scrape, or index the Site without our prior written consent.

Ruby Law, the Ruby Law logo, and related marks are trademarks of Ruby Law Professional Corporation or its licensors. Nothing in these Terms grants you any right to use any trademark, service mark, or logo displayed on the Site.

7. Prohibited Conduct

You agree not to use the Site to violate any applicable law, to infringe any intellectual property or other right of any person, to introduce any virus or harmful code, to use any automated means to access the Site without our prior written permission (other than the search-engine and AI-assistant crawling permitted under Section 6 above), or to attempt to gain unauthorised access to the Site or any system connected to it.

8. User Submissions

The Site does not currently permit users to post, upload, or submit content beyond matter inquiry forms. If this changes, we will update these Terms to reflect the applicable content standards and licence terms before enabling that functionality.

9. Site Monitoring, Suspension, and Termination

We may restrict or terminate your access to the Site if we reasonably believe you have violated these Terms or engaged in unlawful conduct. We may disclose information about you to law enforcement or a third party where required by law.

10. No Reliance

The Site may contain general information about legal topics and Ruby Law's services. This information is provided for general informational purposes only and does not constitute legal advice. You should not rely on it as a substitute for legal advice tailored to your specific situation. For legal advice, submit a matter inquiry or contact Ruby Law directly.

11. Privacy

Our collection and use of personal information in connection with the Site is described in our Privacy Policy, which is incorporated into these Terms by reference.

12. Third-Party Websites and Links

The Site may contain links to third-party websites or services that are not owned or controlled by Ruby Law. We are not responsible for the content, privacy practices, or terms of any third-party website, and including a link does not imply our endorsement. You access any third-party website at your own risk.

13. Geographic Restrictions

The Site is intended for use by individuals and businesses located in Canada. We make no representation that the Site is appropriate, available, or legally accessible for use in other locations. If you access the Site from outside Canada, you do so on your own initiative and are responsible for compliance with local laws.

14. Disclaimer of Warranties

The Site and all Site content are provided 'as is' and 'as available,' without warranty of any kind, whether express or implied. To the fullest extent permitted by applicable law, Ruby Law disclaims all warranties and conditions, whether express, implied, or statutory, including the implied conditions of merchantable quality, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of viruses or other harmful components. You use the Site at your own risk.

For clarity, this disclaimer applies to the Site and its content only. It does not limit or modify Ruby Law's professional obligations to clients under an engagement letter or the rules of professional conduct.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Ruby Law will not be liable for any indirect, incidental, special, or consequential damages arising out of or relating to your use of the Site. Our total liability for any claim arising out of or relating to the Site, whether in contract, tort, or otherwise, will not exceed CAD $100.

This limitation applies to your use of the Site only. It does not limit Ruby Law's liability, if any, in connection with the provision of legal services under a separate engagement letter.

Nothing in this section excludes or limits any liability that cannot be excluded or limited under applicable law, including applicable consumer protection legislation.

16. Indemnification

You agree to indemnify, defend, and hold harmless Ruby Law and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the Site; (b) your violation of these Terms; or (c) your violation of any third party's rights.

17. Governing Law and Choice of Forum

These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. You irrevocably attorn to and agree that any dispute will be resolved exclusively in the courts located in Toronto, Ontario, and you waive any objection to jurisdiction or venue in those courts.

18. Waiver

No failure or delay by Ruby Law in exercising any right under these Terms will operate as a waiver of that right, and no waiver of any provision of these Terms will be effective unless in writing and signed by an authorised representative of Ruby Law.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ruby Law regarding the Site and supersede any prior agreements or understandings, whether written or oral. For clarity, these Terms govern your use of the Site only. If you engage Ruby Law for legal services, the terms of that engagement will be set out in a separate engagement letter, which will govern the provision of those legal services.
