Pro Rata Rights
The right to keep your percentage in later rounds
A contractual right letting an existing investor invest in a future round to maintain their ownership percentage rather than be diluted. Usually granted in a side letter or an investors' rights agreement. Founders should track how many they have promised, because together they can crowd out the allocation a new lead investor expects.
