Forces a minority to join a sale the majority approved
A clause letting a defined majority of shareholders require the rest to sell on the same terms. It exists because most buyers want 100% of a company and a single holdout can block a deal. The threshold that triggers it, and whose shares count toward that threshold, is the part worth negotiating.
