Due Diligence

The review run before an investment or acquisition closes: corporate records, share ownership, material contracts, intellectual property chain of title, employment arrangements and outstanding claims. Gaps found here delay deals or reprice them, which is the practical reason a clean minute book, signed agreements and a tidy cap table are worth money.
