Indemnity
A promise to cover someone else's losses
An undertaking to compensate the other party for defined losses, most often third-party claims arising from your product, your intellectual property or your breach. Indemnities frequently sit outside the limitation of liability cap, which can make them the largest financial exposure in an otherwise modest contract.
